2. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property
We are the owner or licensee of all intellectual property rights in our Services, including source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics (the “Content”), and all trademarks, service marks, and logos (“Marks”). Our Content and Marks are protected by copyright, trademark, and unfair competition laws and treaties around the world.

Your use of our Services
Subject to your compliance with these Legal Terms and the “Prohibited Activities” section below, we grant you a non-exclusive, non-transferable, revocable license to:

5. USER GENERATED CONTRIBUTIONS

When you post or upload any content to the Services (“Contributions”), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, publish, and distribute your Contributions. You represent and warrant that:

  • you own or have the necessary rights to your Contributions;
  • your Contributions do not infringe any third party’s rights; and
  • you have the authority to grant us the above license.

You retain ownership of your Contributions but agree not to hold us liable for any statements or representations in your Contributions.

6. CONTRIBUTION LICENSE

You and the Services agree that we may access, store, process, and use any information and personal data you provide. By submitting feedback, you grant us the right to use and share such feedback for any purpose without compensation.

7. SERVICES MANAGEMENT

We reserve the right to:

  1. monitor the Services for violations;
  2. take legal action against violators;
  3. refuse or remove any of your Contributions;
  4. remove any files or content that burden our systems; and
  5. otherwise manage the Services to protect our rights and property.

8. TERM AND TERMINATION

These Legal Terms remain in effect while you use the Services. We may, without notice or liability, deny access to and use of the Services to anyone for any reason, including breach of these Legal Terms. We may terminate your account and delete any content you posted at any time.

9. MODIFICATIONS AND INTERRUPTIONS

We may change, modify, suspend, or discontinue the Services at any time without notice. We are not liable for any loss or damage resulting from changes, price changes, suspension, or discontinuance.

10. GOVERNING LAW

These Legal Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. You and W Operations LLC-FZ irrevocably consent to the exclusive jurisdiction of the courts of the United Arab Emirates to resolve any dispute arising under these Legal Terms.

11. DISPUTE RESOLUTION

Informal Negotiations

Before pursuing any formal dispute, the parties agree to first attempt informal negotiations for at least 30 days.

Binding Arbitration

Any dispute not resolved by informal negotiations shall be finally resolved by arbitration in accordance with the rules of the International Commercial Arbitration Court under the European Arbitration Chamber (Belgium, Brussels), with one arbitrator, seated in Dubai, United Arab Emirates, and conducted in English.

Restrictions: No class-action arbitration; disputes limited to the parties individually.

Exceptions: Intellectual property, injunctive relief, theft, piracy, privacy, or unauthorized-use claims are not subject to arbitration and will be decided in court.

12. CORRECTIONS

We may correct errors or omissions and update information on the Services at any time without prior notice.

13. DISCLAIMER

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless W Operations LLC-FZ and its affiliates, officers, agents, and employees from any claims, damages, liabilities, or expenses (including attorneys’ fees) arising out of your use of the Services or breach of these Legal Terms.

16. USER DATA

You are solely responsible for all data you transmit or relate to any activity you undertake using the Services. We are not liable for any loss or corruption of your data.

17. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

By using the Services, you consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications satisfy any legal requirement that such communications be in writing.

18. MISCELLANEOUS

These Legal Terms constitute the entire agreement between you and us. If any provision is held invalid, the remaining provisions remain in full force. We may assign our rights and obligations at any time.
